Job Summary

  • The responsibility of the In-House Counsel will be leading corporate strategic and tactical legal
  • initiatives. The In-House Counsel will provide senior management with effective advice on company
  • strategies and their implementation, manage all the legal function(s), and respond to a wide variety of
  • requests for legal assistance from various company departments and staff.
  • Furthermore, experience in employment law, and employment cases, including employment relations,
  • discrimination, Harassment, and employment legal matters.
  • In addition, the principal goal will be to guarantee that our company’s transactions comply with state
  • laws and regulations, while actively helping our company avoid possible legal risks and violations.

Job Description

  • - Seeks to maximize the company’s revenue while minimizing the legal and business risk associated
  • with that revenue.
  • - Entails Drafting, reviewing, and negotiating all company contracts including but not limited to
  • license and distribution agreements; development, consulting, and related contracts; non-
  • disclosure agreements.
  • - Ensures compliance with legal, contractual, and risk management policies to minimize and limit
  • corporate liability, manage risk, and optimize the value of contracts.
  • - Participate in the definition and development of corporate policies, procedures, and programs
  • and provide continuing counsel and guidance on legal matters and on legal implications of all
  • matters.
  • - Recommends alternative actions as required to conform with corporate policies and strategies.
  • - Performs periodic administrative audits including but not limited to corporate documents review,
  • contracts, employment conditions, intellectual property, and insurance and guarantees.
  • - Coordinates with and oversees the work of outside counsel.
  • - Assists or leads employee investigations involving allegations of employee misconduct.
  • - Provides information and advice on labor and employment law issues.
  • - Serve as legal advisor on all major business transactions, including acquisitions, divestitures, and
  • joint ventures.
  • - Oversees compliance with applicable statutes and regulations, reviews pertinent laws and
  • regulations, and provides legal advice to all company departments and staff.
  • - Represents the company in administrative and judicial proceedings not handled by outside
  • counsel.
  • - Judge the merits of major court cases filed against or on behalf of the company, work with the
  • appropriate executives to define a strategic defense and approve settlements of disputes where
  • warranted.
  • - Coordinates responses to subpoenas.
  • - Possesses and maintains thorough, current knowledge of federal, state, and local laws.
  • - Performs other related duties as assigned by management.

Qualifications

  • - Must have a Juris Doctor (JD) or equivalent law degree from an accredited institution and be
  • licensed to practice law in the state. (CA/NY/NJ bar admission is preferred)
  • - Minimum Three years of experience practicing corporate law/or a large in-house legal
  • department. And experience in employment law experience preferred.
  • - Bi-lingual ? Both English and Korean required.
  • - Excellent written, oral communication skills and strong interpersonal skills.
  • - Ability to work with all levels of management.
  • - Strong organizational, problem-solving, and analytical skills.
  • - Ability to work independently and as a member of various teams and committees.
